This is for a Corporate Paralegal who will assist attorneys in the areas of corporate finance, strategic transactions, subsidiary governance and record-keeping, compliance and commercial and other contracts. The position will handle both substantive and administrative duties such as file management, corporate closings, and general clerical duties. It includes both ongoing duties and specific projects as assigned.
Please note this is a 2 year rotating position.
Assist counsel with corporate transactions.
Provide assistance in the preparation for and closing of various corporate transactions, including financings, acquisitions and dispositions.
Draft resolutions, certificates and other basic corporate documents, basic preliminary contract review under attorney supervision, and basic correspondence.
Maintain corporate minute books and files including for foreign subsidiaries.
Liase with company officers and outside counsel as necessary.
Assist with SEC Filings.
Assist in the preparation and filing of SEC annual, quarterly and interim reports, Section 16 filings, and respond to the requirements of the Securities Acts of 1933 and 1934 filings.
Assist in investigations, document production, interrogatories, file management, record maintenance and litigation summaries.
General office administration, including calendar/docketing, operations issues and file maintenance.
Conduct research on regulatory and corporate legal issues relevant to the company and prepare summaries, memos and related documents.
Computer proficiency: Word, Outlook, Excel, Adobe and PowerPoint
